Business Purchase - Make Good Obligations 

A client buying an established business was being granted a new lease. The make-good clause required them to strip the premises back to bare bones — removing every fixture and fitting ever installed, not just those they were acquiring.

We negotiated this back to a fairer outcome: the client only needed to remove the items they were purchasing with the business — saving significant cost and stress down the track.

Struggling Tenant – Managed Exit Strategy

A client was struggling to sell her business, which wasn’t turning a profit, and was falling behind on rent. We negotiated an arrangement allowing her to pay rent in arrears while catching up, then surrender the lease and secure the release of a personal guarantee — with make-good obligations delayed until a new tenant was found. This kept open the possibility of minimising liability if the new tenant took on the fitout.

Frequently asked questions

  • Yes — even “standard” leases often contain terms that subtly shift risk and aren't suitable to particular businesses or ways of operating.  A quick review can save you from expensive surprises.

  • Retail leases are governed by the NSW Retail Leases Act and offer specific protections for tenants. Commercial leases are broader and more flexible — which makes smart negotiation even more important.

    Retail Landlords — Know Your Disclosure Obligations

    In NSW, you must provide a disclosure statement at least 7 days before a retail lease is signed. Miss this deadline, and the tenant may have the right to terminate the lease within 6 months.

  • Make good clauses set out the condition that the tenant is to return the premises to the landlord when a lease ends.  They are a key part of a tenant's end-of-lease obligations and can trigger major costs if not understood upfront.

  • Yes. I assist with renewals, extensions, and lease assignments—making sure the process is smooth, timelines are met, and your legal obligations are covered whether you are a landlord or tenant.
